What you will do
- You will be part of the OG.com Legal Team handling legal and regulatory matters for SEC registered businesses in the US.
- Expertise in the following areas, including the interaction of these rules and regulations in both the US and on a cross-border basis (primarily Europe), will be key for this role: Securities laws and SEC regulations and FINRA rules and regulations. Some experience or familiarity with CFTC law and regulations, as well as NFA rules and regulations is beneficial.
- Focus on legal and regulatory matters involving a diverse range of financial instruments, including securities products, tokenized securities, single stock futures, equity perpetuals, prediction markets, derivatives, and the extent of offering various products within these schema and the regulatory requirements of such financial instruments.
- Assist business units with contract terms and conditions, related negotiations, and legal support of all aspects of business operations including licensing and data provisioning.
- Assisting in drafting, reviewing and updating policies/procedures and terms and conditions and other rules related to the trading of various regulated products in the US.

- Reviewing marketing and sales literature, presentations, and other educational materials for compliance with applicable SEC laws and regulations.
- Work with external counsel to ensure our arrangements comply with relevant law and regulation in jurisdictions where we operate.

- Qualified/licensed lawyer with 3 to 5 years of experience in financial product legal and regulatory work handling issues for SEC-regulated clients in a major law firm or as a licensed entity (broker-dealer or national securities exchange) or at the SEC.
- Excellent knowledge of US financial laws and regulatory structures and track record of maintaining licenses and building products and operations under these frameworks, as well as the cross-border interaction of these laws and regulatory structures.
- Familiarity with industry practices and professional standards.
- Excellent English verbal and written communication skills.
- Strong organizational/project management skills, ability to handle high volume and balance competing demands.

OG.com is seeking to hire a Legal Counsel - Capital and Prediction Markets in the United States. OG.com was created from the innovative technology and product expertise of Crypto.com, which remains a key partner of OG.com.
The Legal Team provides legal and regulatory advice to ensure that all products and services offered by OG.com and the partners of OG.com, including Crypto.com are compliant per U.S. law and regulations, including the U.S. Securities laws and the regulations of the U.S. Securities and Exchange Commission (SEC).
The Legal Team interfaces externally with regulators and service providers in order to demonstrate compliance with applicable law and regulation for OG.com. This role will report to the Chief Legal Officer in the U.S. The primary focus for this role will be to serve as the Legal Team’s expert on the SEC law and regulations applicable to National Securities Exchanges and broker-dealers, as well as the intersection of securities laws with prediction markets and jointly regulated derivatives products offered by OG.com and its CFTC-registered exchange, clearinghouse, futures commission merchant, and affiliated introducing brokers.
The Legal Team provides proactive and solution-oriented legal and regulatory advice and guidance to multiple stakeholders to enable the development and launch of OG.com products and services in a way that meets our obligations as well as the needs of our customers. Work cross-functionally to identify, analyze, and mitigate legal and regulatory risks (while maximizing commercial opportunities) related to the introduction of new products and services. Also represents OG.com on a variety of topics before regulators, financial partners, and other external audiences.
