What you will be responsible for:
- Support the company in meeting its ongoing public-company and listing compliance obligations as a Nasdaq-listed issuer, including SEC reporting (periodic and current reports), disclosure controls, insider-trading and Regulation FD policies, and corporate governance requirements under the Nasdaq listing rules.
- Advise on equity and debt capital markets transactions, including public and private offerings, convertible bonds and other convertible or hybrid securities, follow-on and at-the-market offerings, and private placements, working with underwriters, trustees, and external counsel.
- Support project and infrastructure financing for data center and related projects, including the negotiation of facility agreements, security and intercreditor arrangements, and the related financing and disclosure documentation.
- Lead and support mergers and acquisitions (M&A), joint ventures, strategic investments, and corporate reorganizations, including due diligence, transaction documentation, negotiation, and post-closing integration.
- Provide practical legal advice to finance, treasury, accounting, investor relations, and business teams on securities laws, capital markets regulation, and cross-border transaction structuring, and coordinate with and manage external counsel and other advisers as needed.
How you will stand out:
- Law degree (LL.B., J.D., or equivalent) from an accredited law school
- 8+ years of post-qualification legal experience, ideally combining a leading law firm or investment bank and an in-house capital markets or corporate legal department.
- Strong hands-on experience across capital markets and corporate finance transactions, including equity and debt offerings, convertible bonds, project and infrastructure financing, and mergers and acquisitions (M&A).
- Working knowledge of US securities laws and SEC reporting requirements, and experience advising Nasdaq- or other US-listed issuers, is strongly preferred; familiarity with cross-border and Asian capital markets is a plus.
- Admission to the Singapore Bar, or another relevant common law jurisdiction (e.g., New York or England and Wales), is preferred.
- Strong commercial judgment, with the ability to balance legal and regulatory risk against business objectives in time-sensitive transactions.
- Excellent legal drafting, analytical, and problem-solving skills.
- Strong written and spoken communication skills, stakeholder-management, and cross-functional collaboration skills, including with bankers, auditors, and external counsel.
- Proactive, solution-oriented, and able to manage multiple transactions and deadlines independently.
- High ethical standards and professional integrity.
