- Provide legal support to the corporate legal function focusing on compliance with SEC/NYSE regulations and related corporate governance initiatives.

- Monitor and analyze regulatory developments in securities law and corporate governance and provide guidance on potential impacts to the company.
- Collaborate with internal stakeholders, including finance, investor relations, and compliance, to ensure consistent and accurate disclosure practices.
- Provide legal support for other corporate matters as they arise, including supporting M&A, financings, corporate governance, and other corporate law matters.

Employer description
Our client, a leading global specialty chemicals company, has exclusively retained Solutus Legal Search to assist its executives in hiring a sophisticated attorney to serve as Senior Legal Counsel – Securities. This attorney will serve a critical role in supporting the company and its global parent with various legal issues, primarily focusing on securities law matters. The Senior Legal Counsel will manage sophisticated legal matters while interacting with senior business leadership and managers around the company. This role will report to the Associate General Counsel and Director M&A.
Principle Duties & Responsibilities
- Provide legal support to the corporate legal function focusing on compliance with SEC/NYSE regulations and related corporate governance initiatives.
- Assist in the preparation and review of SEC Filings (including Forms 10-K, 10-Q, 8-K, proxy statements), press releases, investor presentations, and other public disclosures.
- Monitor and analyze regulatory developments in securities law and corporate governance and provide guidance on potential impacts to the company.

Education & Experience
- Strong academic credentials, including a J.D. or equivalent degree from a well-respected U.S. law school.
- License to practice in at least one state.
- 5+ years relevant working experience, with strong training at a national or international law firm.
- Deep understanding of federal and state securities laws.
- Extensive experience in drafting and reviewing SEC filings, including Form 10-K, Form 10-Q, Form 8-K, proxy statements, and Section 16 filings.
- Experience in M&A, corporate finance or other corporate law matters is a plus.

Compensation is highly competitive and targeted at an annual base salary of $265,000 - $295,000, annual target bonus, equity, and excellent benefits including a highly competitive 401K match. The total compensation package will vary and depend on the candidate’s level of seniority and number of years of directly relevant experience.
